Fragnatium creator program terms
This document is issued in English and Slovenian; both versions are authoritative. Versions in other languages are machine translations provided for convenience; if they differ, the English version applies. This does not limit mandatory consumer rights under the law of your country of residence.
1. Who we are
The Fragnatium creator program (the Program) is run by:
Noventis d.o.o., Ulica Eve Lovše 18, 2000 Maribor, Slovenia. Registration number: 7472030000. Tax number: 81239700. Email: [email protected].
Noventis d.o.o. operates the online shop Fragnatium (fragnatium.com). Below it is called we or us, and the person accepted into the Program is called you.
2. Words used in these terms
- Link: a link in the form fragnatium.com/go/<your handle> (with an optional path), issued to you through your Dashboard.
- Code: the personal discount code we issue to you (section 4).
- Attributed order: an order credited to you under section 5.
- Profit: defined in section 6.
- Share: the percentage of Profit we pay you on an attributed order, less any deduction under 6.3.
- Dashboard: the “Creator program” area of your Fragnatium account.
- Statement: the numbered document we issue for each payout (section 10).
- Guidelines: the creator guidelines, which form part of these terms.
3. Eligibility and joining
3.1 You can apply if you are at least 18, can enter into a contract, and live (or, for a business, are established) in a country of the European Union that Fragnatium ships to. You can apply as a private person or as a business. A business applies through a person authorised to act for it.
3.2 There is no follower minimum. We reply to every application within 3 days. We decide whether to accept an application and do not have to give reasons. An applicant who is turned down can apply again after 30 days.
3.3 You apply through the form on the program page and tick that you accept these terms. If you already have a Fragnatium account, you must sign in to it before applying. We record which version you accepted and when. You join on the day we email you that you have been approved.
3.4 One Program account per person. Our employees, and people who live with them, cannot join.
4. Your links and code
4.1 When you are approved we issue you a default Link, fragnatium.com/go/<your handle>, and a personal discount code (the Code), normally your handle in capitals. We may refuse a Code that is the same as, or could be confused with, a code the shop already uses, and issue you a different one. You can create further Links in your Dashboard. Links can only point to pages on fragnatium.com.
4.2 Your Code’s discount. Your Code gives the customer a percentage discount that you choose in your Dashboard, in whole percent within the range shown there (currently 5% to 15%). Until you choose, the lowest percentage in the range applies. You can change your percentage at most once every 24 hours; a change applies to orders placed after it. We set the range and may change it with notice under section 18. If your percentage is then outside the new range, the nearest percentage within the range applies. You pay for the discount from your Share (6.3).
4.3 How your Code works. Each customer can use your Code once. It also applies to products already on sale, and it can be combined with the shop’s own sales and campaign codes. It does not apply to discovery sets that customers build themselves (“Build your own discovery set”). You must not use your own Code, or let anyone else use it on your behalf.
4.4 Replacing a Code. We may replace your Code with a new one if it has been published contrary to 11.3, for example on a coupon site or in a browser extension. The old Code then stops working, and we email you the new one.
4.5 If you change your handle, your old Link keeps redirecting for 90 days. Printed material that shows the old Link stops working after that.
5. How orders are credited to you
5.1 An order is credited to you if, at checkout:
(a) the customer used your Code; or
(b) the customer followed one of your Links within 30 days before ordering, on the device and browser they order from; or
(c) the customer is linked to you as a returning customer. When an order from a customer who is not linked to another creator is credited to you, we link that customer to you, by their Fragnatium account or, without one, their email address. Their later orders are then credited to you until 180 days after the last order credited to you.
5.2 Only one creator is credited for any order. A Code comes first: an order on which a creator’s Code is used is credited to that creator, even if the customer followed another creator’s Link or is linked to another creator, and a customer linked to another creator is then linked to the creator whose Code was used. Without a Code, a Link followed within the 30 days comes first: if a customer linked to another creator follows your Link and then orders, you are credited for that order, but the customer stays linked to the other creator for later orders (and the same applies the other way round). If a customer followed the Links of several creators, the last Link followed counts.
5.3 Not credited: orders placed by you, from your account, with your payout email, by you through any other account, or by people who live with you (self-referral), whether through a Link, with your Code or otherwise; orders we send you as gifts; orders placed while your participation is paused; and orders that meet none of 5.1(a), 5.1(b) and 5.1(c), for example from a customer who types the shop’s address directly, without using your Code, without having followed your Link within the 30 days and without being linked to you under 5.1(c).
5.4 Crediting depends on technology: a cookie, the customer’s browser, the customer’s email address. A customer who blocks or clears cookies, or who orders on a different device or browser from the one they followed your Link on, may not be credited. We do not guarantee that every order influenced by your content is credited. We will look into any order you think was missed if you send us the order number and date.
6. What you earn
6.1 For each attributed order we pay you a Share of its Profit, at the rate of your tier on the day the order is paid.
6.2 Profit is what the customer paid for the products after all discounts (for an order with your Code, see 6.3), plus the shipping charge the customer paid (less any part of it we refund), minus:
(a) the cost of the perfume in the order, from our cost records for each product, including any free item in the order;
(b) the postage for the order, from our postage table;
(c) packaging, as a fixed estimate of €0.60 per order and €0.30 per item; and
(d) the payment provider’s fee, as recorded by the provider or, if none is recorded, our standard estimate for that payment method.
VAT, if any is charged, is not part of Profit. Our other costs (premises, wages, advertising) are not deducted. If Profit on an order is zero or negative, the Share is €0. The Share is rounded to the nearest cent.
6.3 Orders with your Code. On an attributed order on which your Code was used, we calculate Profit as if your Code had not been used, work out the Share on that Profit, and then deduct the amount of your Code’s discount (without VAT, if any is charged) from the Share. The Share is never less than €0: if the discount is larger than the Share, the Share on that order is €0 and you owe us nothing. The difference is never carried over to other orders or deducted from other Shares. A discount from the shop’s own sales or campaign codes used together with your Code is our cost: it reduces Profit as on any order (6.2), but it is not deducted from your Share. An order credited to you without your Code (under 5.1(b) or 5.1(c)) has no deduction.
6.4 Rates and tiers (current values are shown live on the program page):
| Tier | Share of Profit | Reached when the Profit on your attributed orders in the last 90 days reaches |
|---|---|---|
| Partner | 25% | from joining |
| Ambassador | 30% | €150 |
| Insider | 35% | €400 |
Tiers are evaluated on Profit from orders that have not been voided. A refund can therefore move you down a tier.
6.5 Your Dashboard shows each attributed order with its Share. We freeze the calculation when the order is paid. A later change to our costs does not change it, except as described in section 7.
6.6 We may change the rates, the tiers or which products count, with notice under section 18. A change never applies to an order already paid.
6.7 Tier-up bonus. If we offer a bonus for reaching a tier, it is pending for the same period as a Share (7.1). It is voided if you are no longer in that tier when that period ends.
7. Waiting period, refunds and adjustments
7.1 A Share is pending for 30 days after the order is paid, so that most withdrawals and returns come in first. It then becomes available for payout unless it is on hold (section 8). A customer may withdraw within 14 days after delivery and has a further 14 days to return the goods, so a refund can still be made after a Share has become available or has been paid. Section 7.3 then applies.
7.2 If an order is refunded, cancelled or withdrawn before its Share is paid, the Share is voided. A partial refund recalculates the Share on what remains, together with the deduction for your Code’s discount (6.3). A refund of the shipping charge is a partial refund.
7.3 If an order is refunded after its Share has been paid, we record a negative adjustment equal to the Share (or the part of it the refund affects). It is deducted from your later payouts. If the Share was paid to you as store credit, the adjustment is the amount of the Share only, not the store-credit bonus under 9.2(c). Adjustments are only ever deducted from Shares we owe you: apart from fraud (12.4), we never ask you to pay money back. If your balance is still negative when your participation ends, we write it off, unless your participation ended because of fraud (12.4).
8. Holds
8.1 We may put a Share on hold (“Under review”) while we check it, for example when:
(a) the Share is unusually large compared with what the customer paid, including shipping (an automatic check);
(b) the order has not settled (a payment dispute, or an order that is neither completed nor cancelled);
(c) we are reviewing a post, or a Link or Code that may have been published contrary to section 11.
8.2 A held Share is either released or voided. If we void it, we tell you why. We do not void a Share automatically. A person decides, and records the reason. We may release several held Shares together with one recorded reason.
9. Payouts
9.1 Payouts are made monthly on the 5th for all Shares available at that time. They are made only once your available balance reaches €20. A smaller balance carries forward and does not expire.
9.2 Methods:
(a) PayPal, to the PayPal email you give us;
(b) bank transfer in euro to the IBAN you give us;
(c) store credit: a single-use Fragnatium discount code worth your payout plus 20%, usable only with your account email. Store credit has no cash value, cannot be exchanged for money and must be used in one order. Any amount not used in that order is lost. It does not expire.
9.3 We pay our own sending fees. Fees your PayPal account or bank charges you for receiving the money are yours.
9.4 Before your first payout you must give us your payout details and your tax profile (legal name, address, whether you are paid as a private person or a business, and your VAT number if you are an EU business), and, if you are paid as a business, accept the self-billing agreement (10.2). Until then your balance waits, and nothing is lost.
9.5 Keep your details correct. Changing your payout method requires your account password, and we email you when it changes. A payout that fails because of wrong details is paid again once you correct them. We are not responsible for a payout sent to details you gave us.
10. Statements, self-billing and tax
10.1 For every payout we issue a Statement numbered SCW-YYYY-NNNN, listing each order, its Share and any adjustments. You can open your Statements from your Dashboard.
10.2 Self-billing. We calculate what we owe you, so you do not invoice us. If you are paid as a business, the Statement is a self-billed invoice issued by us on your behalf under the self-billing agreement you accept in your Dashboard. Do not issue a separate invoice for the same Shares.
10.3 Tax is your responsibility. You are responsible for declaring and paying any tax and social-security contributions on what you earn, in your country. We do not give tax advice.
10.4 Where the law requires us to withhold or report, we will do so. Any amount withheld is shown on the Statement.
10.5 The VAT note printed on each Statement depends on your tax profile.
11. What we ask of you
11.1 Disclosure. Every post, story, video or other content in which you promote Fragnatium, or show or mention a Link or your Code, or which features products we gave you, must be clearly identified as advertising. It must carry your platform’s paid-partnership label where one exists, and a clear “Ad” / “Oglas” (or the equivalent in your audience’s language) that can be seen before anyone taps or reads on. The Guidelines give the exact wording. Complying with the advertising and consumer-protection rules that apply to you and your audience (in Slovenia: ZVPot-1 and the Slovenian Advertising Code) is your responsibility.
11.2 Honesty and claims. Your opinions must be your own. You must not: call our decants samples, testers or “originals”; claim we are authorised by, or connected with, any fragrance house; make health, medical or therapeutic claims; make price comparisons or claims you cannot support; or say anything else the Guidelines list under “Don’t say”. When you mention your Code, you must state its discount truthfully: the percentage it actually gives, that each customer can use it once, and that it does not apply to discovery sets that customers build themselves. You must not present it as a time-limited offer unless it is one.
11.3 Links and Code. Share them only in content you create for your own audience. You must not publish them, or allow them to be published, on coupon, deal, cashback or code-sharing sites, browser extensions (including their coupon databases) or groups; post them as comment spam or unsolicited messages; bid on “Fragnatium”, its variants or your Code in paid search or any other ads; run paid ads, boosted posts or Spark Ads with a Link or your Code without our written consent; place orders through your own Link or with your own Code, or let others use your Code on your behalf (5.3); or generate clicks or orders artificially.
11.4 Brands. Use fragrance house names only to identify the fragrance in a decant. Do not use their logos or campaign material.
11.5 Platforms and law. Follow the rules of each platform you post on and the law that applies to you.
11.6 No sub-affiliates. You cannot recruit other creators to earn on their sales.
12. Pausing and ending
12.1 You may leave at any time from your Dashboard.
12.2 We may end the Program for everyone with 30 days’ notice. We may end your participation with the same notice without giving a reason.
12.3 We may pause your participation, or end it with immediate effect, if you breach these terms or the Guidelines: in particular for undisclosed promotion, self-referral, publishing a Link or Code contrary to 11.3, false claims, or fraud. While you are paused your Links stop crediting orders and your Code does not work. We tell you the reason in writing.
12.4 When your participation ends, your Links stop crediting orders and your Code stops working. Shares already available are paid on the normal schedule. Pending Shares mature and are paid normally, except Shares on orders connected with the breach that ended your participation, which are voided. If your balance is negative when your participation ends, we write it off and do not ask you to pay it back. This does not apply if your participation ended because of fraud, such as orders placed through your own Link or with your own Code, or fake traffic: in that case we do not write off the balance, and we may claim back Shares paid on fraudulent orders.
12.5 We may reject an individual post you registered (for example one without disclosure). It then stops earning from that point, and we tell you why. This is not by itself an end to your participation.
13. Your content
13.1 You keep all rights in the content you create.
13.2 You give Noventis d.o.o. a non-exclusive, royalty-free licence to reshare, embed and repost content in which you feature Fragnatium, with credit to you, on Fragnatium’s own website, social-media accounts and newsletters. The licence lasts while you are in the Program and for 12 months after. It does not cover paid advertising. Using your content in paid ads requires your separate written consent.
13.3 You confirm that you have the rights to what you post (music, footage, people who appear in it). We are not obliged to reshare anything.
13.4 If you ask us to remove reshared content, we will remove it from our channels within 7 days. Material already sent (such as a newsletter) cannot be recalled.
14. Using the Fragnatium name
While you are in the Program you may use the name “Fragnatium” and the wordmark files we provide, unaltered, to identify us in your content. You may not register handles, domains or ads containing “Fragnatium”, or present yourself as speaking for Fragnatium.
15. Our relationship
You take part as an independent creator or business, not as our employee, agent or partner. You cannot make commitments on our behalf. There is no exclusivity: you may work with other shops.
16. Personal data
16.1 Noventis d.o.o. is the controller of the personal data you give us for the Program: name, email, handles, platforms and profile links, self-reported follower counts, your application, your tax profile, your payout details (stored encrypted), the posts you register, and the Shares, payouts and Statements recorded for you.
16.2 We use it to review your application and to run the Program under these terms (GDPR Art. 6(1)(b)); to keep accounting and tax records and meet withholding or reporting duties (Art. 6(1)(c)); and to prevent fraud and misuse of Links and Codes (Art. 6(1)(f)).
16.3 Recipients: our hosting and email providers as processors; PayPal or our bank when we pay you; our accountant; and authorities where the law requires it. Within Noventis d.o.o., only administrators can see your full IBAN or PayPal email, including in the payout files we prepare.
16.4 Retention: Program data is kept while you take part. Shares, payouts and Statements are accounting records, kept for the period the law requires even if you ask us to erase your data. Everything else is erased or anonymised.
16.5 You will never see customers’ personal data, and customers’ orders are recorded against you without their name, email or address.
16.6 Your rights (access, rectification, erasure, restriction, portability, objection, complaint to the Information Commissioner, Informacijski pooblaščenec) and the rest of our data practices are in our privacy policy.
17. Liability
We are not liable for losses caused by a third-party service (a platform, PayPal, your bank), or for orders that are not credited because of the limits described in 5.4, except where the law does not allow such an exclusion. Nothing in these terms limits liability for intent or gross negligence, or any right you have as a consumer that cannot be waived.
18. Changes to these terms
We may change these terms. We will email you the new version at least 30 days before it takes effect, except for changes required by law. If you do not accept a change, you can leave before it takes effect. If you stay, you accept the new version. Each version has a number, and your acceptance of each version is recorded.
19. Law and disputes
These terms are governed by the law of the Republic of Slovenia. Disputes go to the competent court in Maribor. If you take part as a consumer, this does not take away the protection of the law of your country of residence or your right to go to court there.
